Terms of Service (AGB)

1. Acceptance of Terms

By accessing and using Drall ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Commercial Use Only

The Service is intended for and provided to businesses and professional users only. By registering, you represent and warrant that you are acting as a commercial entity or professional (B2B) and not as a consumer. We reserve the right to verify your business status and to terminate the agreement immediately if we discover that you are using the Service as a consumer.

3. Description of Service

Drall is an AI-powered consulting workbench provided by TNT Ventures GmbH. The Service includes:

  • AI-assisted consulting workflows with specialized agent personas
  • Structured playbook-driven engagements with review gates
  • Document processing, knowledge base management, and vector search
  • Deliverable generation (PDF, DOCX, PPTX, XLSX)
  • Firm and team management with role-based access control

4. Account Registration and Responsibility

You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must not share API keys or access credentials.

5. User Content

5.1 Content Ownership

You retain ownership of any content you upload to the Service, including documents, data, and business descriptions. By uploading content, you grant Drall a worldwide, non-exclusive, royalty-free license to use, process, store, and display your content for the purpose of providing the Service.

5.2 Generated Content Ownership

As between the parties, you own all right, title, and interest in and to any content generated by the Service based on your inputs, including deliverables, analyses, and reports. We claim no ownership rights over your generated content.

5.3 Content Restrictions

You agree not to upload content that:

  • Violates any law or regulation
  • Infringes on intellectual property rights
  • Contains harmful, offensive, or inappropriate material
  • Contains malware or malicious code
  • Violates third-party privacy rights

6. AI-Generated Content Disclaimer

The Service uses artificial intelligence (OpenAI, Anthropic) to generate consulting deliverables, analyses, and recommendations. AI-generated content may contain errors, inaccuracies, or biases. You acknowledge that:

  • AI-generated content is not a substitute for professional consulting judgment
  • You are responsible for reviewing and verifying all outputs before use
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated content
  • All outputs should be reviewed by qualified professionals before use in business decisions

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service
  • Reverse-engineer the AI models or attempt to extract training data
  • Resell access to the Service without authorization

8. Third-Party Services

The Service relies on third-party platforms and services. Your use of these platforms is subject to their respective terms. Third-party services include:

  • Supabase — database, authentication, and file storage
  • OpenAI — AI language model processing
  • Anthropic — AI language model processing
  • Tavily — web search for research workflows

9. Data Protection

Data processing is governed by our Privacy Policy. We process data in accordance with GDPR requirements. For details on sub-processors, data retention, and your rights, please refer to the Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law, TNT Ventures GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability is limited to the fees paid in the preceding 12 months. Nothing in these Terms limits liability for death, personal injury, or other mandatory statutory liabilities.

11. Termination

11.1 Termination by You

You may terminate your account at any time through the account settings. Your data will be retained or deleted according to our Privacy Policy.

11.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms, engage in fraudulent or illegal activity, or upload prohibited content.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. For consumers in the EU, mandatory consumer protection laws of your country of residence also apply. The place of jurisdiction for disputes with merchants is Cologne, Germany.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. For significant changes, we will provide 30 days notice via email. Your continued use of the Service after changes constitutes acceptance.
